Terms of Service

1. Acceptance of Terms
By accessing or using Afferent (the “Service”), available at afferental.com and operated by Andy Lee (“we,” “us,” “Afferent”), you (“you,” “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
We may update these Terms from time to time. Material changes will be communicated by updating the “Last updated” date and, where appropriate, by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
2. Description of Service
Afferent is a personal productivity platform that includes:
- A marketing website at afferental.com providing information about the Service.
- A planner application with views for daily, weekly, monthly, and long-term planning, plus a journal feature.
- A newsletter for product updates and announcements.
- Future paid subscription tiers (“Pro” and “Elite”) offering enhanced features. The Elite tier may include AI-powered features such as automated journal analysis and calendar integration (“AI Features”).
- Future third-party integrations, including Google Calendar.
Pricing, feature availability, and integration support may change. We will provide reasonable notice of material changes.
3. Eligibility
To use the Service, you must be at least 13 years old (or the minimum age of digital consent in your jurisdiction). Users in the European Economic Area must be at least 16 unless local law permits a lower age. By using the Service, you represent that you meet these requirements.
4. Accounts
When account features become available, you may be required to create an account to access certain parts of the Service. You agree to:
- Provide accurate and current information.
- Keep your login credentials confidential.
- Notify us immediately of any unauthorized access at afferent.contact@gmail.com.
- Be responsible for all activity that occurs under your account.
We may suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to the Service, other users’ accounts, or supporting infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service except as expressly permitted by law.
- Submit malicious code, spam, or content that infringes intellectual property rights.
- Use automated tools to scrape or extract data without our written permission.
- Resell, sublicense, or transfer your access to the Service to a third party.
- Submit content that is illegal, harassing, defamatory, or otherwise harmful.
We reserve the right to remove content or suspend accounts that violate this section.
6. Subscriptions and Billing
When paid subscription tiers (“Pro,” “Elite”) become available, the following terms apply:
- Recurring billing. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price unless you cancel before renewal.
- Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide pro-rated refunds for partial periods.
- Refunds. Subscription fees are non-refundable except where required by law. If you believe you have been charged in error, contact afferent.contact@gmail.com.
- Free trials. If a free trial is offered, you must cancel before the trial ends to avoid being charged. Trial terms will be disclosed at signup.
- Price changes. We may change subscription prices with at least 30 days’ notice. Changes take effect on your next renewal.
- Taxes. You are responsible for any applicable taxes in your jurisdiction.
7. User Content
Afferent allows you to create and store content within the Service, including but not limited to journal entries, planner data, goals, schedules, and notes (“User Content”).
- Ownership. You retain all ownership rights in your User Content. We do not claim ownership of anything you write.
- License to operate the Service. You grant Afferent a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and process your User Content solely for the purpose of operating and improving the Service for you.
- AI Features (when offered). If you opt in to AI Features (Elite tier), you grant Afferent additional permission to process your User Content through third-party AI providers solely to provide those features to you. We do not use your User Content to train any AI models without your explicit, separate consent.
- Backup responsibility. While we maintain reasonable backups, you remain responsible for keeping your own copies of important content. We recommend periodic exports.
- Removal. You may delete your User Content at any time. Deletion is permanent, subject to backup retention periods described in our Privacy Policy.
8. Intellectual Property
The Service — including its design, code, logos, branding (“Afferent,” “Build Within”), and all related materials — is the exclusive property of Andy Lee and is protected by copyright, trademark, and other laws.
You may not copy, modify, distribute, or create derivative works of the Service or its branding without prior written permission, except for personal, non-commercial use of the planner output you create.
If you provide feedback, suggestions, or ideas about the Service, you grant Afferent a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
9. Third-Party Services
The Service uses third-party providers, including:
- Supabase — database and authentication.
- Resend — transactional email.
- Upstash — rate-limiting infrastructure.
- Vercel — hosting and basic web analytics.
- (Future) OpenAI, Anthropic, or similar — AI Features.
- (Future) Google Calendar — calendar integration.
These providers have their own terms and privacy policies. Your use of the Service is also subject to their terms where applicable. We are not responsible for the conduct of third-party providers.
10. Privacy
Your use of the Service is also governed by our Privacy Policy at afferental.com/privacy, which is incorporated into these Terms by reference.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR THAT DATA WILL BE PRESERVED INDEFINITELY. AFFERENT IS A PERSONAL PRODUCTIVITY TOOL, NOT MEDICAL, MENTAL HEALTH, FINANCIAL, OR PROFESSIONAL ADVICE; IT SHOULD NOT BE USED AS A SUBSTITUTE FOR THERAPY, MEDICAL CARE, OR LEGAL OR FINANCIAL CONSULTATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AFFERENT, ITS OWNER, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR REVENUE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID AFFERENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so portions of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold Afferent and its owner harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your violation of these Terms.
- Your violation of any third-party right, including intellectual property or privacy rights.
- Your User Content.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or that we determine, in our reasonable discretion, may harm Afferent or other users.
You may stop using the Service at any time and delete your account where account features are available.
Sections 7 (User Content licenses), 8 (IP), 11 (Disclaimers), 12 (Liability), 13 (Indemnification), 16 (Governing Law), and 17 (Miscellaneous) survive termination.
15. Changes to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Massachusetts, without regard to conflict of law principles.
- Informal resolution first. Before filing any claim, you agree to contact us at afferent.contact@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.
- Binding arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered by JAMS under its applicable Consumer Rules, in Boston, Massachusetts. Each party bears its own arbitration costs unless the applicable rules require otherwise.
- Class action waiver. You and Afferent agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or other consolidated proceeding against Afferent.
- Exception. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement.
If any portion of this section is found unenforceable, the remainder of these Terms remains in effect.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Afferent regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
